Referral Program Terms and Conditions

The following sets out the terms and conditions (the “Terms”) applicable to the Royal LePage Real Estate Services, the Heaps Estrin Team (“HET”) Gratitude Program for referrals (the “Program”). All monetary amounts are in Canadian dollars. These Terms are a binding legal contract between you and HET. Please read carefully. If you do not accept and agree to be legally bound by and comply with these Terms, you are not permitted to participate in the Program.
Program Term
The Program is available on the Effective Date set out above and shall automatically renew on the 1st day of every subsequent calendar month (each such one (1) calendar month period shall be a “Renewal Program Term”), unless terminated by HET in its sole and absolute discretion at any time, in which case the Program shall terminate on the last date of the then current Renewal Program Term (collectively, the Effective Date to the end of all Renewal Program Terms are the “Program Term”).
Eligibility
The Program is available to any individual to participate as a referrer who: (i) receives an offer from HET to participate in the Program and provides (or has previously provided) their contact information to HET for the purposes of the Program; and (ii) is a resident of Canada (excluding Quebec) that has reached the legal age of majority in their province or territory of residence (each a “Referrer”); excluding HET agents, representatives and employees (who, for certainty, are not eligible to participate in the Program). This offer may be communicated by any means (for example, without limitation, by email, in person or via social media).
The Program is available to any individual to participate as a referee who: (i) is a resident of Canada (excluding Quebec) that has reached the legal age of majority in their province or territory of residence; and (ii) is not under contract with a member of HET at the time of the Referral (defined below) and has not previously transacted with HET prior to the Referral (each, a “Referee”).
For certainty, a Referrer cannot refer themselves as a Referee. A Referee cannot be referred more than once (if more than one Referral is received for the same Referee, then only the first Referral will be eligible in the Program).
To be eligible in the Program, a Referrer may only provide information in relation to a Referee who has consented to the Referrer providing that information to HET for the purpose of this Program. Further, a Referrer may only provide information in relation to a Referee: (i) with whom the Referrer has an existing business relationship, arising from (a) the purchase of a product, good, service or land by the Referee within the last two-years, (b) the Referee accepting a business, investment or gaming opportunity within the last two-years, (c) a written contract entered with the Referee that is in existence or expired within the last two-years, or (d) an inquiry or application made by the Referee in respect of (a) or (b) within the last six-months; (ii) with whom the Referrer has had direct voluntary two way communications, and with whom it is reasonable to conclude the Referrer has a personal relationship considering shared interests, experiences, opinions and other relevant factors; or (iii) to whom the Referrer is related by marriage, a common-law partnership, or parent-child relationship, and with whom the Referrer has had direct voluntary two way communications. In the event HET, in its sole and absolute discretion, sends an email or other commercial electronic message containing information about the Program or its services to a Referee, such email will indicate that it has been sent on the Referrer’s behalf and identify the Referrer.
In any communications between a Referrer and Referee about the Program, the Referrer must clearly and prominently disclose that the Referrer may receive a benefit as a Referrer in connection with this Program (i.e., the Referrer must disclose their “material connection” to this Program). Any statements made by a Referrer with respect to this Program must not be false, misleading nor deceptive, and must otherwise comply with applicable laws and regulations.
Obtaining a Program Reward
If, during the Program Term: (i) a Referrer submits to HET the name and contact information of a Referee (a “Referral”); and (ii) the Referee completes a Successful Purchase or Sale (defined below) of a property (either by the Referee alone or together with any other individual(s)); then the Referrer that submitted such Referral will be eligible to receive a Program reward (“Reward”). A “Successful Purchase or Sale” means firm acceptance of an Agreement of Purchase and Sale by the Referee for a property for which HET is the representing brokerage or the referring brokerage (for clarity, HET may refer a Referee to a partner brokerage if outside of HET’s operating jurisdiction). A Referrer may only provide information in relation to a Referee who has consented to the Referrer providing that information to HET for the purpose of this Program. For greater certainty and the avoidance of any doubt, a Referrer is not obligated to complete any Successful Purchase or Sale, nor any other purchase or agreement with HET in order to be eligible to receive a Reward.
Each Reward consists of a $250 (CAD) gift card for The Lobby by Heaps Estrin, and will be sent to the applicable Referrer in connection with a Successful Purchase or Sale.
Gift cards will be redeemable in person or online at The Lobby by Heaps Estrin and sent to the Referrer’s address following the execution of the applicable Successful Purchase or Sale. Gift cards are subject to all applicable terms and conditions as set out by the issuer.
Participation Limits and Conditions
All Referrals are subject to verification in the sole and absolute discretion of HET. If it is discovered by HET (using any evidence or other information made available to or otherwise discovered by HET) that any person has attempted to participate in this Program in contravention with the letter and intent of these Terms is subject to disqualification (and disqualification of any of such person’s Reward, as applicable) (all as determined by HET in its sole and absolute discretion). HET reserves the right, in its sole and absolute discretion, to require proof of identity, eligibility and/or compliance with these Terms. Any person who fails to provide such proof to the satisfaction of HET within the timeline specified by HET is subject to disqualification (and disqualification of any of such person’s Reward) (all as determined by HET in its sole and absolute discretion).
General Terms
To the fullest extent permitted by applicable law, HET reserves the right, without prior notice and at any time, to terminate, restrict, suspend or modify the Program or any part of it, including these Terms in whole or in part, and/or your access to and participation in this Program. This includes suspending, disqualifying, limiting, or revoking access to the Program for any individual we find or believe to be manipulating or otherwise abusing the process, fairness or integrity of the Program.
By participating in the Program, you hereby agree to indemnify, release, and hold harmless HET, its agents, representatives, employees, parent companies, subsidiaries, affiliates and licensors, any party involved in producing or administering the Program, and each of their respective officers, owners, directors, shareholders, contractors, agents, employees, partners, successors, and assigns (collectively, the “Released Parties”) from and against any and all demands, claims, damages, liabilities, judgments, fines, interest, penalties, losses, costs, expenses, and harms, including without limitation legal fees and fees of other professional advisers, arising out of or in connection with (i) your participation or conduct in connection with the Program, (ii) your violation or breach of these Terms, (iii) your failure to comply with any applicable laws or regulations in connection with the Program, (iv) your negligence, willful misconduct, or violations of the privacy or other rights of any person in connection with the Program, or (v) any of your dealings or transactions with other persons resulting from your participation in the Program.
Except where prohibited by applicable law, by participating in the Program, you agree that: (a) any and all disputes, claims, and causes of action arising out of or connected with the Program shall be resolved individually, without resort to any form of class action; and, (b) any and all claims, judgments and rewards shall be limited to actual out-of-pocket costs incurred, but in no event legal fees.
Any provision of these Terms which expressly or by its nature survives termination or expiration, or which contemplates performance or observance subsequent to termination or expiration of these Terms, will survive expiration or termination of these Terms for any reason. HET also reserves the right to seek all remedies available at law and in equity for violations of these Terms.
By participating in the Program, each Referrer and Referee expressly consents to the collection, use, disclosure, and retention of their personal information by HET, its agents and/or representatives for the purposes of administering the Program and in accordance with HET’s privacy policy (available at: https://www.heapsestrin.com/privacy-policy/). It is further acknowledged that the Referrer will be made aware of the status of purchase or sale made by their Referee, and the Referrer agrees to keep information relating to the status of said purchase or sale confidential.
These Terms constitute the entire agreement between HET and you. In the event any provision of these Terms is held unenforceable, it will not affect the enforceability of the remaining provisions and will be replaced by an enforceable provision that comes closest to the intention underlying the unenforceable provision. HET’s failure to enforce any provisions of these Terms, or respond to a breach by you or other parties, shall not in any way waive HET’s right to enforce subsequently any terms or conditions of these Terms or to act with respect to similar breaches.
In the event of any discrepancy or inconsistency between these English Terms and disclosures or other statements contained in any Program-related materials, including, but not limited to: the HET website, any translated version of these Terms, and/or print or online advertising; the terms and conditions of these English Terms shall prevail, govern and control to the fullest extent permitted by law.
To the fullest extent permitted by applicable law, all issues and questions concerning the construction, validity, interpretation and enforceability of these Terms, the Program or the rights and obligations of participants, HET or any of the other the Released Parties in connection with the Program will be governed by and construed in accordance with the domestic laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws. To the fullest extent permitted by applicable law, the parties hereby consent to the exclusive jurisdiction and venue of the courts located in Toronto, Ontario in any action to enforce (or otherwise relating to) these Terms or relating to the Program.
